Statistics Solutions (SS) Agreement Terms
1. Confidentiality: Statistics Solutions (SS) acknowledges access to confidential information from the Client during the Agreement term and agrees not to disclose it without the Client’s express prior written consent.
2. Contract Execution: Immediate signing of the agreement is required to avoid delays. Work will commence only upon receipt of materials, a signed agreement, and full payment. Delays in these requisites may lead to adjusted turnaround times.
3. Financials and Contractual Matters: All financial and contractual interactions must be conducted directly and exclusively between SS and the Client.
4. Client-SS Relationship: The Client is deemed the expert, identifying the research problem and gap. SS serves as content editor, providing support based on current peer-reviewed articles.
5. Results Verification and Support: A verification form may be needed before beginning results chapter assistance. Included is up to one hour of support for survey uploading and data management. Additional support may incur renegotiated fees and times. Change matrix requests must be submitted with drafts.
6. Intellectual Property: Upon full payment and fulfillment of contractual obligations by the Client, all delivered work becomes the Client’s intellectual property. Unpaid work remains SS’s property and cannot be submitted elsewhere.
7. Cancellations and Changes: Cancellations by either party before completion will incur charges based on work completed, either at $350/hour or full chapter assistance, whichever is greater. A processing charge of 20% of the total invoice applies if the contract is mutually cancelled. Requests for changes in topic or other substantive editing after commencement of work will require full payment for work done to proceed.
8. Out of Scope Work: SS reserves the right to refuse or renegotiate the contract if project requirements are significantly beyond the typical scope.
9. Revisions and Follow-up: Please allow at least 10 business days for revisions. Contact from the client is required within 30 days to maintain the timeline. If the Client is not responsive to follow-ups after 30 days, the agreement will be considered fulfilled, and the document finalized. Re-engagement after over 30 days of non-response will require a new agreement.
10. Dispute Resolution: Disputes must be directly communicated exclusively with James Lani within four weeks of service delivery, or they will be considered waived. All legal proceedings will be under Florida law, with exclusive jurisdiction in Pinellas County.
11. Quality Control: Quality issues must be reported to James Lani within seven days of work delivery. After this period, the work is considered acceptable.
12. Entire Agreement: This document constitutes the complete agreement, superseding all previous agreements, and can only be amended in writing.
